Terms and Conditions

These Terms and Conditions (“Agreement”) set forth the general terms and conditions of use and resale of FAME’s Twilio-powered SMS services. This Agreement applies to all clients, users, employees, and partners involved in the delivery or use of these services.

1. Services

FAME acts as a reseller and integrator of Twilio’s messaging services. Clients acknowledge that Twilio is a third-party provider and that FAME’s performance depends on Twilio’s platform availability and functionality.

2. Account Management

Clients must provide accurate information for account setup and billing. FAME reserves the right to suspend services if false information is provided or payment obligations are not met.

3. Compliance

Clients must comply with all applicable telecommunications laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and other federal or state messaging laws. Clients are responsible for ensuring that all recipients have provided prior consent to receive messages.

4. Fees and Payment

All invoices are due according to the payment schedule agreed upon by the Client and FAME. Late payments may result in service suspension or additional fees. Prices are subject to change with 30 days’ notice.

5. Intellectual Property

All intellectual property related to FAME’s systems, integrations, and branding remain the sole property of FAME. Clients receive only a limited, non-exclusive right to use the Services for legitimate business purposes.

6. Limitation of Liability

In no event shall FAME, its officers, employees, or partners be liable for indirect, incidental, or consequential damages. The total aggregate liability of FAME for any claim shall not exceed the total amount paid by the Client for Services in the three months preceding the claim.

7. Indemnification

Clients agree to indemnify and hold harmless FAME, its affiliates, and partners from any claims, damages, or expenses arising from their use or misuse of the Services, including violations of laws or third-party rights.

8. Modifications

FAME may modify these Terms and Conditions from time to time. Updated terms will be communicated via FAME’s website or email. Continued use of the Services after updates constitutes acceptance of the revised Agreement.

9. Governing Law

This Agreement shall be governed by the laws of the State of Washington, and any disputes shall be resolved in the courts of King County, Washington.
